Terms of Service

These general terms apply to the Prime Edge Digital website and services. A signed proposal, order form or statement of work controls where it contains project-specific terms that differ from these general terms.

1. Agreement to Terms

By using this website or purchasing services from Prime Edge Enterprise LLC, doing business as Prime Edge Digital, you agree to these Terms of Service and any applicable signed proposal or service agreement.

2. Services

We provide website design and development, initial SEO and answer-engine optimization setup, AI systems, automation, hosting, maintenance and related digital services. The exact services for a customer are defined in the applicable proposal or written agreement.

3. Proposals and Scope

Each proposal describes the project scope, deliverables, options and pricing. Work outside that scope may require a written amendment, additional fee and new acceptance. A specific signed proposal controls over inconsistent general website language.

4. Pricing

Our current standard initial project investment is $1,500: $1,000 one time for Website Design & Development and $500 one time for Initial SEO + AEO Setup. A signed proposal may state different pricing, discounts, services or scope, and that signed proposal controls.

5. Deposits and Payments

The typical structure is a $750 project deposit and a $750 final balance before launch. Deposits are applied to the project and become non-refundable once production begins because planning, design, development and project resources have been committed. Payment status is confirmed through verified payment records, not merely by a return or success screen.

6. Client Responsibilities

Customers are responsible for providing accurate business information, logos, photos, content, service information, domain access through secure methods, required approvals and timely feedback. Customers should not send passwords, complete card details or banking credentials through ordinary forms or email.

7. Project Timelines

Any schedule is an estimate unless a signed proposal expressly states otherwise. Delays in receiving customer materials, access, decisions, feedback or approval can affect delivery and launch timing. Third-party service issues can also affect schedules.

8. Revisions

Prime Edge Digital will provide the revision opportunity described in the signed proposal before launch so the customer can approve the website design. Revision rounds and included work are governed by the proposal; new scope, substantial direction changes or work beyond the agreement may be quoted separately.

9. Website Approval

The customer reviews the website through the project workflow and may submit revision requests or approve the then-current project version. Approval confirms that the customer authorizes the approved version to move toward final payment and launch readiness.

10. Final Payment

The remaining project balance is normally due before launch. A project is not treated as paid merely because a browser displays a return screen; payment must be confirmed through the payment processor and recorded by Prime Edge Digital.

11. Website Launch

Launch occurs only after the applicable approval, payment and readiness requirements are satisfied. The customer may need to provide domain access or complete third-party account steps. Launch does not guarantee any ranking, traffic, lead or revenue result.

12. Growth Care

Prime Edge Growth Care is currently $197 per month under the standard offering. It starts at website launch only when the customer has separately selected and explicitly authorized recurring billing. It may include hosting, SSL and security, backups, routine maintenance, monitoring, minor content updates within service limits, lead or contact forms, analytics, CRM connection where applicable, lead notifications where applicable and technical support.

Growth Care is not unlimited development or full ongoing SEO/AEO management unless separately contracted. It may be canceled with 30 days written notice. Growth Care is never charged before launch solely because it was displayed, preselected, selected or included in a proposal.

13. Third-Party Services

Projects may depend on third-party platforms, software, payment processing, domains, hosting, communications or other services. Their availability, pricing, acceptable-use rules and terms are controlled by those providers. Third-party fees are the customer's responsibility where stated in the proposal or service description.

14. Domains and Hosting

The customer retains ownership of a domain registered in the customer's name. Domain registration, DNS changes, hosting, migration and service continuation depend on the applicable agreement and third-party provider requirements. Cancellation of hosting or maintenance can affect services that depend on them.

15. SEO/AEO

Initial SEO + AEO Setup is a one-time setup service unless ongoing SEO services are separately purchased. Search and answer-engine results depend on many factors outside our control. We do not guarantee Google rankings, traffic, leads, sales, revenue or placement in AI-generated answers.

16. AI and Automation

AI and automated systems may occasionally produce incorrect, incomplete or unsuitable outputs. Customers remain responsible for reviewing important outputs, communications and material business decisions where appropriate. Automated services may depend on third-party systems and usage limits.

17. Intellectual Property

Each party retains its pre-existing materials, tools, templates, methods and intellectual property. Customer-owned materials remain the customer's. Prime Edge Digital retains its pre-existing tools, templates and frameworks. Ownership or licensing of project-specific deliverables and third-party components is governed by the signed proposal and applicable licenses, and generally depends on full payment where stated.

18. Customer Content

The customer represents that it has the rights and permissions needed for all logos, photos, video, text, trademarks, graphics and business information it supplies. The customer authorizes their use as reasonably needed to complete and operate the project.

19. Portfolio Rights

Where the signed proposal permits it, Prime Edge Digital may display completed work in its portfolio and marketing materials. Any different written restriction or confidentiality term in the signed proposal controls.

20. Prohibited Use

Customers may not use our website or services unlawfully, infringe others' rights, distribute malicious code, attempt unauthorized access, interfere with service operation, deceive users or use configured systems to send unlawful or non-consensual communications.

21. Service Availability

We work to keep services available but do not promise uninterrupted or error-free operation. Maintenance, internet conditions, third-party outages, security events and circumstances outside reasonable control may affect availability.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Prime Edge Digital is not liable for indirect, incidental, special, consequential or lost-profit damages arising from the website or services. Any applicable limitation, exclusion or remedy in a signed agreement controls for that engagement.

23. Indemnification

To the extent permitted by law, a customer agrees to be responsible for claims arising from customer-supplied content, the customer's unlawful use of services, or the customer's breach of its representations and obligations, subject to any different terms in the signed agreement.

24. Suspension / Termination

We may suspend affected services for nonpayment, security risks, unlawful use or material breach, subject to the applicable agreement and reasonable notice where appropriate. Suspension or termination does not erase proposals, approvals, signatures, payment history or other records we are entitled or required to retain.

25. Changes to Services

We may improve, modify or discontinue general website features and service offerings. We will not silently change a signed project's scope, pricing or terms; material project changes require the process specified in the signed agreement.

26. Governing Terms

The governing law, dispute process and other engagement-specific terms are those stated in the signed proposal or service agreement. If no specific term applies, applicable law governs. If any provision is unenforceable, the remaining provisions continue to the extent permitted.

27. Electronic Communications

Proposals, contracts, approvals and authorizations may be presented and accepted electronically. By providing contact information, customers agree to receive transactional communications about inquiries, projects, payments and authorized services. Electronic acceptance records may include the information actually captured by the system.
