Website Service Agreement

Client engagements are structured as a Master Services Agreement plus an individual Order Form / Statement of Work describing the specific package, pricing and deliverables.

Scope of services

The Order Form defines pages, features, integrations and timelines. Work outside that scope is quoted separately.

Client responsibilities

Timely delivery of content, photos, access and feedback. Delays in client materials shift the schedule accordingly.

Payment terms

Setup fees are billed as stated in the Order Form (for example, an initial payment with the balance due before launch). Recurring charges begin when the applicable service goes live.

Late or nonpayment may result in suspension of services, including hosting and connected automations.

Revisions and additional work

Each package includes a defined number of revision rounds. Additional rounds or new requirements are billed at the then-current rate.

Domain, website and content ownership

The client retains ownership of their domain and the content they provide. Ownership and license of the delivered website and custom assets are specified in the Order Form and generally transfer upon full payment.

Third-party software and AI content

Certain features depend on third-party platforms subject to their own terms and fees. AI-generated content is reviewed by the client prior to publication, and the client is responsible for final approval.

SMS and email compliance

The client is responsible for lawful consent, opt-out handling and compliance for messages sent to their contacts.

Hosting, cancellation and data transfer

Hosting is provided under Prime Edge Growth Care. On cancellation, services end at the close of the paid period and a reasonable export of client content is provided.

Intellectual property and limitation of liability

Each party retains its pre-existing intellectual property. Liability is limited as set out in the Master Services Agreement.

No guarantee of results

Prime Edge Digital does not guarantee rankings, traffic, leads, sales or revenue.

Governing law and electronic signatures

The agreement is governed by the state named in the Order Form, and the parties agree that electronic signatures are binding.
